Executive Summary
ATS Medical has become exclusive distributor in the US, Germany, France and the UK of the Enclose II cardiac anastomosis device made by Novare Surgical Systems. The product is used to attach a bypass vessel to the aorta during coronary artery bypass graft surgery. Enclose II had been the subject of an exclusive distribution pact with J&J's Ethicon division, but the US Federal Trade Commission demanded the deal be terminated as a condition of J&J's bid to acquire Guidant, a transaction which ultimately failed when Boston Scientific stepped in with a higher bid.
