Executive Summary
Synergetics USA Inc., via its Synergetics Surgical EU Ltd. subsidiary, bought closely held disposable device firm Sterimedix Ltd. for $13.5mm in cash. Synergetics may also pay annual earn-outs through December 31, 2017, based on gross profit margins as follows: 136.7% of the amount that gross profit exceeds £3.2mm ($5.2mm) for 2015; 136.7% of the amount that profit exceeds £3.8mm in 2016; and 136.7% of the amount that profit exceeds £4.4mm in 2017.
