ArthroCare acquires Opus Medical in tax-free stock swap

Executive Summary
In a tax-free transaction, ArthroCare (minimally invasive surgical devices) has acquired Opus Medical (devices for orthopedic soft tissue repair). ArthroCare will pay Opus shareholders $30mm in cash and $60mm in stock, as well as potential earnouts of $40mm (in either cash or stock) based on Opus's net sales in 2005.
