Executive Summary
Siemens Audiologische licensed exclusive European co-promotion rights for five years to Symphonix Devices' Vibrant soundbridges, and paid (uf)$5mm up front for 1mm Symphonix common shares (a (pr)68% premium to its trading price of about $2.97 for a 7.4% stake. Siemens will buy $5mm more after Symphonix gets FDA approval for its Vibrant P and Vibrant D hearing aids (PMA filed in September), and has the right to increase its ownership to 20%.
